Client policies
Effective date: 12 October 2026
This document explains SCORPIUS’s standard working policies for software, websites, AI systems, automation, and related digital services. Project-specific scope, fees, milestones, and dates are confirmed in a separate written Project Agreement.
1. Scope and written approval
Only the deliverables, features, integrations, and services listed in the approved proposal or Project Agreement are included. Discussions, demonstrations, estimates, and ideas do not become binding scope unless confirmed in writing by both parties.
2. Fees and payment
Unless the Project Agreement states otherwise, the standard payment schedule is 50% of the agreed project fee upon approval and before work begins, and 50% upon delivery of the agreed deliverables. Larger or phased projects may use milestone-based payments specified in the Project Agreement.
The initial payment (deposit) is non-refundable once work has begun. If the project is cancelled, fees are settled based on the work completed (see Section 8).
Invoices are payable by the due date stated on the invoice or Project Agreement. Work may be paused after written notice if a payment becomes overdue.
The final deliverables, source code, credentials, and production deployment are handed over only after the full project fee has been received. Preview or demo versions may be shared for review before final payment.
3. Timeline and client responsibilities
The timeline is an estimate based on the agreed scope and on the client providing required content, data, access, feedback, and approvals on time. The schedule begins once the kickoff conditions are met, including receipt of the initial payment.
If any data, content, access, or approval requested from the client is delayed or unavailable, the delivery date is extended by the length of that delay. SCORPIUS will notify the client when this happens.
If the client does not respond for more than 14 days, the project is paused. When the client returns, work resumes according to the team’s availability and a new schedule is agreed.
4. Revisions and additional work
Unless otherwise agreed, the project fee includes two rounds of revisions to the agreed deliverables. A revision round is one consolidated list of feedback, sent within 7 days of the relevant review stage. Revisions must stay within the approved scope.
Anything beyond the agreed scope — new features, additional pages, changes to approved designs or requirements, new integrations, or extra revision rounds — is additional work and is priced separately from the agreed fee. SCORPIUS will provide a cost and schedule estimate and will start only after written approval.
5. Hosting, domains, and third-party costs
Hosting, domain names, servers, cloud services, paid APIs, AI model usage, email/SMS services, and any other third-party subscriptions or licenses are the client’s responsibility and cost. They are not included in the project fee unless explicitly listed and priced.
Wherever possible, these accounts are opened in the client’s own name so that the client keeps full control. Third-party services remain subject to their own terms, limits, availability, and price changes.
6. Delivery, acceptance, and handover
Delivery means making the agreed deliverables available to the client in the manner specified in the Project Agreement. The client should review them and send one consolidated list of defects or deviations from the agreed scope within 5 business days of delivery. If no list is received in that period, the deliverables are considered accepted, without affecting any rights that cannot legally be waived.
Source code, documentation, and other handover items are included only to the extent stated in the Project Agreement. Credentials should be transferred securely and changed by the client after handover.
7. Support after delivery
SCORPIUS provides 14 calendar days of support starting from the delivery date. Support covers problems and bugs that appear in the delivered work and prevent it from working as agreed. It is for fixing issues only and does not include adding new features or changes.
Support does not cover third-party outages, changes made by the client or others after delivery, unsupported environments, or issues outside SCORPIUS’s control. Anything beyond that is additional work (see Section 4).
Support is provided remotely during working hours. Ongoing maintenance, monitoring, and updates after the support period are not included unless agreed and priced separately.
8. Cancellation and suspension
Either party may request cancellation in writing. Fees are settled based on the work completed, approved milestones, non-cancellable commitments, and reasonable costs incurred up to the cancellation date, subject to applicable law. The initial payment is non-refundable once work has begun. Any remaining balance will be documented in writing.
SCORPIUS may pause work after written notice if work is blocked by an overdue payment, missing essential client inputs, or a material security or legal concern. The parties will seek a reasonable resolution before termination where practicable.
9. Intellectual property, client content, and portfolio
Unless otherwise agreed in writing, once all amounts due are paid in full, the client receives the rights assigned to it for the custom deliverables identified in the Project Agreement. SCORPIUS keeps ownership of its pre-existing materials, reusable components, methods, know-how, and tools, and grants the licenses needed for the client to use the delivered work as agreed.
The client is responsible for the content, data, images, and materials it provides and confirms that it has the right to use them. Open-source components, stock assets, and third-party tools remain subject to their own licenses.
SCORPIUS may show the completed project in its portfolio and marketing materials unless the client asks otherwise in writing. Private data, credentials, and unpublished content will not be shown.
10. Data, backups, and AI limitations
Passwords and sensitive personal data should not be shared through insecure channels. After delivery, the client is responsible for keeping backups of its data and content.
AI-enabled systems may produce inaccurate, incomplete, or unexpected outputs and may depend on third-party model behavior, data quality, and external services. Unless expressly agreed, AI outputs require appropriate human review and are not guaranteed to be error-free or suitable for high-stakes decisions.
11. Liability and unforeseen events
To the extent permitted by law, SCORPIUS’s total liability for any claim related to a project is limited to the amount actually paid by the client for that project. SCORPIUS is not liable for indirect or consequential losses, loss of profits, or business results, and does not guarantee specific results such as sales, search rankings, or traffic, except as expressly stated in the Project Agreement.
Neither party is responsible for delays caused by events beyond its reasonable control, such as power or internet outages, platform failures, or force majeure. Dates are extended accordingly.
12. Team, communication, and disputes
SCORPIUS works as a team, and any team member or independent collaborator may take part in executing the project under SCORPIUS’s responsibility.
Project decisions, approvals, change requests, and notices are documented through the official channel stated in the Project Agreement. We aim to respond within one business day.
The parties will first try to resolve any dispute through good-faith discussion.
Acknowledgment
The client acknowledges receipt of and agrees to these policies. They form part of the project arrangement when referenced in a Project Agreement accepted by both parties. If there is a conflict, the signed Project Agreement controls for project-specific terms, subject to applicable law.
